These Terms and Conditions (these "Terms") govern your access to and use of the website located at dvinlabs.com (the "Site") and any content, features, or services made available through it. Please read these Terms carefully before using the Site. By accessing or using the Site, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Site.

1. Who We Are

2. Eligibility

The Site is intended for individuals who are at least 18 years old (or the age of legal majority in their jurisdiction, if higher) and for institutions and professional counterparties. By using the Site, you represent that you meet these requirements and that your use of the Site is permitted under the laws of your jurisdiction. Because our business relates to fine wine, you must be of legal drinking age in your jurisdiction to engage with any wine-related aspects of our services.

3. Development Status Disclaimer

The dVIN Labs platform, including smart contracts, interfaces, tokenization mechanics, and lending infrastructure, is currently in active development. Features described on the Site are forward-looking, may not be fully implemented, may change without notice, or may never be released. Descriptions of the platform, the Digital Cork protocol, tokens, or associated mechanics are provided for informational purposes only and do not constitute a commitment, representation, or warranty that any feature will be delivered in any particular form or at all.

4. No Financial, Investment, or Legal Advice; No Offer

NOTHING ON THIS SITE CONSTITUTES FINANCIAL, INVESTMENT, LEGAL, ACCOUNTING, OR TAX ADVICE. The information provided is for general informational purposes only. Nothing on the Site should be considered an offer to sell, or a solicitation of an offer to buy, any securities, financial instruments, loans, or digital assets in any jurisdiction, nor a recommendation or endorsement of any asset, strategy, or transaction. 5. No Regulated Activity Representations

The regulatory treatment of digital assets and tokenized instruments varies by jurisdiction and remains subject to change. Access to any future products or services may be restricted by jurisdiction, investor classification, or applicable law, and may require identity verification and compliance screening.

6. Blockchain and Digital Assets Risk Acknowledgment

By using or evaluating any blockchain-based features described on the Site, you acknowledge and agree that:

• Cryptographic tokens and digital assets are experimental, speculative, and highly volatile, and their value can decline to zero.
• Smart contracts may contain bugs, vulnerabilities, or logic errors that could result in the partial or total loss of assets.
• Transactions on public blockchains are irreversible, and lost private keys generally cannot be recovered.
• Blockchain networks may experience congestion, forks, attacks, or failures beyond our control.
• Regulatory approaches to digital assets are uncertain and vary by jurisdiction; future laws or regulations may adversely affect the utility, transferability, or legality of any platform feature or asset.
• Physical assets such as fine wine involve additional risks, including storage, provenance, insurance, valuation, and market liquidity risks.

7. Sanctions and Restricted Jurisdictions

You may not use the Site, and you must not seek to access any future platform or services, if you are (a) located in, organized in, or resident of any country or territory subject to comprehensive sanctions administered by the United Nations, the Cayman Islands, the United Kingdom, the European Union, or the United States (including OFAC); (b) identified on any applicable sanctions or restricted-parties list; or (c) otherwise prohibited from doing so under applicable law. You represent and warrant that none of the foregoing applies to you.

8. Intellectual Property

The Site and its original content, features, design, and functionality are owned by dVIN Labs LTD or its licensors and are protected by copyright, trademark, and other intellectual property and proprietary rights laws. Except as expressly permitted, you may not reproduce, distribute, modify, create derivative works of, publicly display, or exploit any content on the Site without our prior written permission.

"Digital Cork" and "Tasting Token" are trademarks of dVIN Labs LTD. You may not use these trademarks, or our name or logos, without our prior written permission.

9. Acceptable Use

You agree not to use the Site:

• In any way that violates any applicable law or regulation.
• To attempt to gain unauthorized access to the Site, its servers, or any connected systems, or to probe, scan, or test their vulnerability.
• To interfere with or disrupt the operation of the Site, including by transmitting malware, flooding, or automated scraping that burdens our infrastructure.
• To transmit any advertising or promotional material, including "junk mail", "chain letters", "spam", or similar solicitations, including through our contact forms.
• To impersonate or attempt to impersonate dVIN Labs, a dVIN Labs employee, another user, or any other person or entity.
• To submit false, misleading, or fraudulent information through the Site.

10. Third-Party Links and Affiliated Ventures

The Site contains links to third-party websites and services that are not owned or controlled by dVIN Labs LTD, including our affiliated ventures Club dVIN and dVIN AI / Bacchus, which operate independently and under their own terms and privacy policies. We have no control over, and assume no responsibility for, the content, policies, or practices of any third-party websites or services, and we do not endorse them. You access third-party sites at your own risk.

11. Disclaimer of Warranties

THE SITE AND ALL CONTENT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, OR UNINTERRUPTED OR ERROR-FREE OPERATION. WE DO NOT WARRANT THAT THE SITE WILL BE SECURE, AVAILABLE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT ANY INFORMATION ON THE SITE IS COMPLETE, CURRENT, OR RELIABLE.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL DVIN LABS LTD, NOR ITS DIRECTORS, OFFICERS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES, BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, REVENUE, DATA, USE, GOODWILL, DIGITAL ASSETS, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, THE SITE OR ANY CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OUR AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SITE SHALL NOT EXCEED ONE HUNDRED UNITED STATES DOLLARS (US$100). NOTHING IN THESE TERMS EXCLUDES OR LIMITS ANY LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

13. Indemnification

You agree to indemnify, defend, and hold harmless dVIN Labs LTD and its directors, officers, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to your breach of these Terms, your violation of applicable law, or your misuse of the Site.

14. Suspension and Termination

We may suspend, restrict, or terminate your access to the Site at any time, with or without notice, if we reasonably believe you have breached these Terms, where required by law, or to protect the Site, our users, or our business. The provisions of these Terms that by their nature should survive termination (including Sections 4, 5, 6, 8, and 11 through 17) shall survive.

15. Governing Law and Jurisdiction

These Terms, and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with them or the Site, shall be governed by and construed in accordance with the laws of the Cayman Islands, without regard to conflict of law principles. You and dVIN Labs LTD irrevocably agree that the courts of the Cayman Islands shall have exclusive jurisdiction to settle any such dispute or claim, and you waive any objection to proceedings in those courts on the grounds of venue or inconvenient forum.

16. General Provisions

• Entire agreement: these Terms, together with our Privacy Policy, constitute the entire agreement between you and dVIN Labs LTD regarding the Site and supersede all prior understandings relating to their subject matter.
• Severability: if any provision of these Terms is held invalid or unenforceable, that provision will be enforced to the maximum extent permissible and the remaining provisions will remain in full force and effect.
• No waiver: our failure to enforce any right or provision of these Terms is not a waiver of that right or provision.
• Assignment: you may not assign or transfer these Terms without our prior written consent; we may assign these Terms in connection with a merger, acquisition, reorganization, or sale of assets.
• No third-party rights: except as expressly stated, these Terms do not confer any rights on any person other than you and dVIN Labs LTD.

17. Changes to These Terms

We may revise these Terms from time to time. The updated version will be posted on this page with a revised "Last updated" date, and material changes will be highlighted on the Site where appropriate. Your continued use of the Site after revised Terms are posted constitutes acceptance of the changes. If you do not agree to the revised Terms, you must stop using the Site.
